Co Investment and Special Opportunities

Consider the individual opportunity.

Some investments are best understood individually. Regalis Select Opportunities provides a proposed framework for presenting transaction-specific investments with a clear commercial rationale, defined structure and detailed explanation of risk.

A considered approach

A specific thesis. A defined structure.

An individual opportunity should explain what must happen for the investment case to succeed. The discussion includes the source of returns, what could impair the outcome and which parties control the important decisions.

Where Regalis, its related parties or other investors participate alongside a client, the nature of that participation and any differences in terms should be disclosed. Co-investment alone does not establish identical interests.

Individual opportunities are assessed and documented separately. The information provided for a transaction should explain its particular structure, commercial assumptions and participation terms, allowing you to consider the commitment in the context of your wider investments.

Read the opportunity on its own terms

01

Commercial thesis

Identify the underlying asset or business, what new capital enables and the observable events needed for the investment case to progress. Explain which assumptions are within management control and which depend on external markets. A clear thesis also identifies what could undermine the proposed outcome.

02

Capital structure

Understand where the investor sits alongside lenders, sponsors and other equity holders. Examine priority, further funding obligations and differences in economic or legal terms applying to participants. Participation alongside another investor does not necessarily mean identical fees, rights, exposure or exit arrangements.

03

Execution and exit

Establish who controls delivery, who approves material changes and which information rights investors hold. Examine the intended realisation route and practical alternatives if it becomes unavailable. Consider how a longer holding period, lower sale proceeds or funding shortfall would affect decisions and capital requirements.

In practice

Alignment needs to be examined.

Investing alongside another party can provide shared exposure, but participants may have different entry prices, fees, priorities or exit rights. The opportunity material should explain these differences and any related-party interests that could influence decisions. The identity of a co-investor is not a substitute for examining the terms or the underlying commercial case.

An expression of interest begins a conversation about the opportunities you wish to review. It does not reserve an allocation or require a commitment. Availability, capacity and investor eligibility are considered for each transaction. The relevant documents should provide enough detail for a separate investment decision, including how the position would affect your wider portfolio and the capital you need to keep accessible.

Questions worth discussing

Can I review one opportunity without committing to others?

A transaction-specific investment is considered separately under its own documents. An expression of interest can identify the sectors or structures you wish to explore, while leaving each investment decision to be made after reviewing the relevant material.

How are allocations determined?

Capacity and allocation arrangements depend on the particular opportunity. Request an explanation of the process and any conditions before assuming an expression of interest reserves an investment position.
